General overview
[382.01] Under s 382, a certificate of a foreign company that specifies any shares held by any member of that company, and that is registered in the branch register of the foreign company (as is required to be maintained pursuant to s 379), will be prima facie evidence of the title of the member to the shares, and of the registration of the shares in the branch register of the company: Explanatory Statement to Bill No 13 of 2017, First Reading on February 28, 2017. Section 382 is similar to s 123(1), which provides that a certificate under the common or official seal of a company incorporated under the Act that specifies any shares held by any member of the company shall be prima facie evidence of the title of the member to the shares.
