General overview
[184A.01] Prior to the coming into operation of ss 184A–184G of the Act on May 15, 2003, members of a private company could make decisions by way of a written or circular resolution signed by all members of the company. The requirement for unanimous consent restricted the use of written resolutions in practice, and hence, ss 184A–184G were introduced to facilitate decision-making in closely-held private companies.
