[171.01] Section 171(1) provides that the directors shall appoint the secretary for the company. Subsection (1AA) provides the minimum legal qualification of the secretary of a public company. In other words, there are no specific requirements for a person to be qualified as a secretary of a private company. Usually, the company’s secretary is in charge of all administrative matters relating to the company such as sending notices to the members in respect of meetings, filing and lodging of forms and documents required under the Act, etc. and in listed companies, the announcements of material events as well as filing obligations in compliance with the regulations of the Singapore Exchange and the Monetary Authority of Singapore. The question of whether the Act should remove the need for a secretary in a private company was addressed in the Report of the Steering Committee for Review of the Companies Act, April 2011, Chapter 5, paras 127–138.
