General overview
[183.01] In modern companies, the directors dominate the proxy process such that members have very little “voice” at general meetings: Re Dorman Long & Co Ltd [1934] Ch 635, Ch D . As such, s 183 gives an avenue for members to present their own resolutions that they want to pass at the meetings. It is purely a procedural provision, which must be adhered to enable members’ resolutions to be tabled for discussion at the meetings.
