A

A

The articles of incorporation are used to form the actual corporation, whereas the bylaws are the set of rules that are adopted by the board of directors after the corporation is formed.

A

The corporate oppurtunity doctrine requiers them to notify the corporation of any business oppurtunity that the corporation may be interested in pursuing. If the corporation does not act, the officer is allowed to proceed with his dealings.

When might a creditor be able to pierce the corporate veil?

A

If a corporation were to start another buisness as a subsidary and the subsidary were to go broke it is possible that the corporate veil may be pierced. Generally, if the parent corp and/or stockholders are highly involved with the subsidary there is a chance that the corporate veil may be pierced.

A

A

A “defined benefit retierment plan” is a promise by the employer to pay the worker some amount of money when they retire (Morton is 50% salary for life after retierment). A 401k is a retierment plan that allocates a set percent (3% at UM) to the worker to invest. Money in an 401k is not taxed until after retirement.

A

A

Prohibits employment and referral of aliens not autherized to work in the US as well as prevents discrimination against aliens who are autherized to work here legally.

A

Federal law differs from state law which can differ from city law. Any business with contracts with the Federal Government cannot discriminate based on LGBT; however it is not a Montana law and therefore small Montana businesses are allowed to discriminate based on LGBT.
