When is Subject to contract used?
When used, parties are not bound by the terms of their negotiation until a formal contract is executed by them
• Use of term would be of no effect where parties have concluded negotiation.
• It is not sufficient to just add subject to contract, it must have relevance to the matter. The effect is a matter of construction.

When is without prejudice used?
Contents of the letter cannot be used against either party
• Makes the document not admissible in evidence against the maker.
• Exception is where the maker expressly waived this right.
• Need not be stated in a document, as can be inferred from party’s conducts.
Contents of Minutes of Meeting?
- Heading; (Minutes of … (state nature of, place, date, time);
- List of those in Attendance;
- List of those Absent;
- Opening Remarks/Prayers;
- Adoption of the Minutes of the last meeting;
- Deliberations on issues on the agenda;

- Any Other Business;
- Closing Remark/ Adjournment/ Prayer;
- Signature and names of Chairman and Secretary;
