Register of members;
Register of directors;
Register of secretaries;
A register of charges against the company’s assets; and

How long must minutes be kept for?
10 years
Who can inspect meeting minutes?
Members free of charge
How long must directors’ service contracts be kept?
1 year following end of tenure - can be inspected by members
What is an annual confirmation statement?
Confirmation to Companies House that information they hold is up-to-date
What must a company with share capital deliver to Company’s House?
statement of capital with the confirmation statement if there has been a change since the last confirmation statement was delivered
On what date must an annual confirmation statement be filed?
On the anniversary of the company’s incorporation
When must private companies send in their accounts?
No later than 9 months after the relevant accounting reference period
What is the filing period for public companies?
6 months
What must company accounts include?
Company’s registration number
What part of the country the company is registered
Balance sheet
Details of profit and loss
Who must approve the accounts?
The directors
Who must file a directors’ report?
Medium and large companies
When must Companies House be updated?
Appointment or termination of a director or officer (14 days)
Ordinary resolution giving directors power to allot new shares (15 days)
Special resolutions (15 days)
Issuance of new shares (1 month)
Change of address (not effective until filed)
