UCC v common law
UCC doesn’t need mirror image of offer and acceptance
No consideration needed in UCC for good faith modification
Lease
Transfer of the right to possession and use of goods for a term in return for consideration
Consumer lease
Lease that have a value of at less than $25,001 and exists between a business and a personal user
Financial lease
Lease that involves a third party (supplier or vendor) who lease a separate role from that of the lessor
Firm offers
Irrevocable w/o consideration needed under UCC
Parol evidence rule
Cannot later contradict contract with new evidence
Unconscionable
So unreasonable as to be unfair if the court were to enforce it
Sale
The passing of title from the buyer to seller for a price
CISG
countries have adopted as of 12/15 (not the UK)
•Preempts the UCC – Travelers affirmative opt out
•Writing not required
•Price must be stated
•Offer irrevocable if reliance
•Closer to mirror image rule
