What is Novation?

A

The substitution of a new K for an old one

  • the orig. obligor is released from his promises under the orig. agreement
  • Can be express or implied after delegation if:
  1. The orig. obligor repudiates liab. to the orig. promisee AND
  2. The obligee subseq. accepts perf. of the orig. agmt. from the delegatee w/out reserving rights against the obligor

Effect of Delegation on the Delegate

A

Acceptance by delegate of delegation of K duties is a promise to perf. those duties

  • Promise is enforceable against the delegate if:
    • the delegate has received consideration or
    • there is a consideration subst. that makes the promise enforceable
