A

Must call the meeting within 21 days of the request, must be held no later than 28 days from the notice.

In which situations must a company have a memorandum at the registered office 15 days before a GM?

A

1) When proposing a director service contract which necessitates OR - must set out the terms of the contract.

2) When the company proposes to buy back shares, a copy of the buyback agreement must be left at the office.

3) When the company plans to loan money to a director, necessitating an OR, a memorandum setting out the terms of the loan must be left at the office 15 days before the meeting.

15 Days not needed if it was a written resolution, as the contract/relevant document would be annexed to the written resolution
