  • Identify parties
  • Quantity
  • Signed by party to be charged

Exceptions:

  • Specially manufactured goods
  • Part payment
  • Receipt + acceptance
  • Judicial Admission (deposition, testimony)
  • Failure to respond to merchant-merchant memorandum

Modifications: Assess deal as modified.
