A

Requires writing and signature by party against whom the contract is to be enforced against

  • No possible waiver by parties (oral contract un-enforceable)
  • Defense against contract formation
  • Apply when MOULS

  • When for indefinite term SOF usually doesnt apply
  • Possible enforceability for executed portion

  • Over $500 or $1K if lease of goods
  • Applies to modification if pushes contract over $ limit
  • For contracts over $ limit, oral modification still unenforceable
  • More relaxed than CL - “some” writing required - only signature of party charged is required
  • PAWS exceptions - not need to write down

  • Also applied to included agreements such as conveynce deeds, encumbrances, contracts for land-based resources, contracts for crops if >$500, listing agreement with broker (commission!!!!)

  • i.e. promise to guarantee, PR promise to personally respond for estate debts.
  • Issue of consideration when promise to:
    a) debtor: consideration are goods to be delivered to debtor
    b) creditor: new consideration is required for surety in the form of some kind of benefit
