A

Person who undertakes in the formation of a company with reference to a given project.
He is not an agent, trustee or legal practitioner but occupies a fiduciary duty so must act in good faith.

A

Contract entered into on behalf of the company before incorporation. Necessary to protect interest and reflect common intention of parties towards formation.
Examples include: joint venture agreement, confidentiality agreement and shareholder agreement

Are pre-incorporation contracts binding?

A

Generally, these contracts are not binding on the company as it has not come into existence at the time of entering such contract.
However, Section 72(1) CAMA says that a company may ratify such contracts upon incorporation.
