What is a contract?
A promise or set of promises for the breach of which the law gives a remedy, or the performance of which the law in some way recognizes as a duty
What is an agreement?
A manifestation of mutual assent on the part of two or more persons
Intent to memorialize
Parties make it clear that they intend to have a formally written document
Three scenarios for intent to memorialize
- Parties make it clear that they do not intend that there should be legal consequences unless a formal writing is executed
- Parties make it clear that the writing is merely to be a convenient memorial of the agreement previously reached
- The parties intend to have a writing later
To determine a parties’ intent to be bound, the following factors are weighed
- Did the party expressly reserve the right to only be bound in writing?
- Was there partial performance by one party that the disclaiming party accepted?
- Were all the essential items and terms of the contract already agreed upon?
- Was the deal so complicated it necessitated a contract?
Important aspects to consider for intent to contract
- Would a reasonable person think there was a contract?
- Look at the objective manifestations
- Did the parties intend to have legal consequences?
- Was it made as a joke?
Nature of mutual Assent
Both parties mids have to come together and agree on important terms → meeting of the minds

To an objective person, does it seem like there is an intent to contract?

A reasonable person standard:
In order to determine if there is a contract, a reasonable person would believe that there was a contract
