Estoppel
A Principal may be liable when:
1. A Third Party is
a. justifiably induced
b. to make a detrimental change in position
c. because they believe it is on the Principal’s behalf
- The Principal
a. Made no manifestation of Agent Authority
b. Is not otherwise liable, however they
c. Intentionally or carelessly, caused or had notice of such belief
d. Knew that belief might change the Third Party’s position, and
e. did not take reasonable steps to notify the Third Party

a. manifests asset to be bound OR
b. manifests conduct that justifies a reasonable belief that the Principal consents to the act
