Req’s (1) sub. nexus btw state and activity + (2) fairly apportioned to each state [not just helping in-staters]

State law burdening interstate commerce bad if:
- -discriminates against OOS = necessary to achieve important gov’t interest
- -no discrim = burdens > benefits

state can’t restrict fundamental right of domestic travel (law favors old citizens vs new citizens)

State can’t discriminate against OOS w/r/t fundamental right to earn a living unless necessary to achieve important gov’t interest
