What is a 6-K? What other form is not required to be audited?
It is filed semi-annually y foregin private issuers and contains unaudited financial statements. The 10-Q is also not required to be audited.
What is a 40-F?
Is filed annualy by specific caadian companies registered with the SEC
What is a 20-F?
Is filed annually by non-us registrants registered with the SEC and must contain audited financial statements
What portion of the annual financial statement, filed with the SEC, should include 2?
A balance sheet; filed with the SEC should include balance sheets for the two most recent years.
What is the maximum number of days after the company’s fiscal year end that the company (an accelerated filer) must file?
As of 2002 an accelerated filer has 75 days to file.
What dates must be shown on a companies 10-Q, if they are not subject to seasonal fluctuations?
Due to the absence of seasonal fluctuations, the end of the preceding fiscal year should be included as well.
What are forms 3, 4, and 5?
They are required to be filed by directors, officers, or beneficial owner of more than 10% of a class of equity securities. They do not need to be filed in XBRL because they are not filed by the company but by an individual.
What is not required to filed in XBRL?
Managements discussion and analysis.
How long do companies have to file their 10-Q?
Large corporations have 40 days and small corporations have 45 days.
What is reported on form 8-K?
This form is required to be filed by all companies reg with the SEC. The form reports on major corporate events; corporate asset acquisitions/disposals, accountant changes, financial statement changes, management changes, changes in securities, etc.
