C-Corp - Formation
Formalities:
File articles of Incorporation or Corporate Charter w/ State
S-Corp - Formation
Formalities:
Same as regular C-Corp plus file “S election”
Sole Prop - Liability of Owners
Unlimited personal liability for all business obligations
General PSHIP or Joint Venture - Liability of Owners
Unlimited personal liability for all partnership obligations
LLP - Liability of Owners
Parners are generally not liable for partnership obligations, unless caused by their own negligence
Limited Partnership - (LP) - Liability of Owners
General Partner: unlimited personal liability
Limited Partner: only investment is at risk
LLC - Liability of Owners
Members generally not personally liable beyond their investments
C-Corps - Liability of Owners
Shareholders generally not personally liable beyond their investment
