A
- ability to transfer title without authority requires indicia of ownership or the agent to be a dealer in the goods
i. agent’s mere possession of goods is insufficient for ability to sell them - an agent with authority to sell personal property may give general warranties for quality or grant customary covenants
i. must not accept check or extend credit as payment (unless authorized)
ii. can deliver possession upon payment

Subagent
A
person appointed by agent to perform the tasks assigned by principal
i. agent is liable for subagent principal
ii. subagent appointed without authority owes no duties to the principal, agent alone is responsible to principal for subagent’s conduct
iii. principal has no duty to compensate a subagent even if agent was authorized to hire them, unless principal agrees otherwise
