A Code of Conduct is a document that outlines the values of an organization and gives guidance for stakeholders regarding the expected behaviour. It also explicitly defines rules and norms.

The Institute of Business Ethics says there are 12 characteristics of a successful policy approach:
- Root the code in the core values
- Give a copy to all staff
- Ensure breaches can be reported confidentially
- Incorporate in the company’s training programmes
- Set up a Board committee to monitor effectiveness
- Report on the code’s use in the annual report
- Make conformity contractual
- Have it translated
- Make it available to business partners
- Have a named person who is responsible for implementation
- Regularly review the code
- Ensure leaders ‘walk the talk’
