1. Any defendant resides, so long as all defendants reside in the same state
2. A substantial part of the events or omissions occurred
3. All the defendants are subject to PJ (can’t consider this option unless the first two are thought about)

1. The transferee (the new target) venue satisfies 1391
   2, the transferee venue is convenient for litigants and witnesses
2. The transfer serves the interest of justice
