courts will imply a term into contract if it is necessary for contract to work on a business - like - business, courts use a 2 part test:
1. is the term necessary to make contract effective?
2. if parties parties in the contract had thought about it, would they have agreed that term should be in contract

term must be necessary to give contract business effect . if contract make business sense without term, courts will not imply a term
