Can a company enter into contracts pre incorporation?
No - s 51
Agency can’t help because it requires a principal
What happens if a contract was entered into anyway?
- Personal liability for the director concerned
- no contract for the company and the company can’t ratify
When is a company a legal entity?
When certificate or incorporation is issued by companies house (s.15)
When is change of name effective?
Once new certificate is issued
Who effects name change?
- Shareholders - s77(1)(a)
- Procedure set out in articles - s77(1)(b)
Resolution needed for name change?
- SR if 77(1)(a)
Who effects appointment of secretary?
- Directors - MA 3 and 5
- By board resolution
How is the resignation of secretary effected?
- By letter from the outgoing secretary (effective from date set out in letter)
Who effects the appointment of new directors?
- Outgoing directors - MA 17(1)(b)
- Shareholders - MA 17(1)(a) - OR
How is transfer of subscriber shares effected?
- STF (change only effective once the new members have been entered into the Register of Members)
- Transferor shareholder executes STF
- Usual to have BR to approve
How is change of registered office effected?
- Directors giving notice to registrar - s87(1)
How is change of accounting reference date effected?
- Directors giving notice to the registrar - s392(1)
