a person who discusses possibility of forming client-lawyer relationship with respect to a matter
prospective clients protected by duty of confidentiality
BUT:
1) a person who communicates info unilaterally to lawyer, without expectation that lawyer is willing to discuss possibility of forming client-lawyer relationship; OR
2) communicates with a lawyer for the purpose of disqualifying lawyer from handling a materially adverse representation on the same or a substantially related matter
