  • Insolvency: bankruptcy / appointment of trustee, receiver, liquidator
  • Death or Incapacity: OJO economic rights go to decendent’s PR
  • Expulsion (3):
    1) judicial order
    2) breach of operating agreement
    3) unanimous vote by other members
