What is agency of necessity?

A

Action to avert an imminent risk
1. In normal circumstances, an agent’s authority is conferred to him by the principal
2. However, when (cumulative conditions)
- Principal’s property is under an imminent risk
- Urgent action is needed to save it
- Agent is unable to contact / communicate / get a mandate of principal
It may require the necessary remedial action

When is an agent entitled to a commission?

A

Agent is entitled to commission when the sale transaction is concluded IF:
- Where transaction has been concluded as result of agent’s action
- Sale is concluded with a third party whom he has previously acquired as a customer for transactions of the same kind (indirect commission for backorders)
- Where A is entrusted with a specific geographical area or group of customers
 Sales transaction has been entered into with customer belonging to that area or group
- Agent has exclusive right to a specific geographical area or group of customers
 Sales transaction has been entered into with a customer belonging to that area or group
 Irrelevant who concludes the sales transaction with the client even if agent does not intervene, as long as principal directly or indirectly is involved

A
  • Agent has brought Principal new customers
  • Agent has significantly increased the volume of business with existing customers and Principal continues to derive substantial benefits from the business with such customers and
  • Payment of indemnity is equitable having regard to all circumstances, particularly on lost commission by agent on business transacted with such customers

A

Agreement restricting business activities of a commercial agent following termination of the agency agreement.

1. Written clause
2. Relates to geographical area or group of customers etc. entrusted to agent and kind of goods covered by his agency under the agency agreement
