Define “controlling body”
The board of directors of the JSE which is the governing body managing the affairs of the JSE.
What is the purpose of the rules and directives?
The purpose of the rules and directives is to achieve the objects of the JSE as set out in its Memorandum and Articles
of Association by providing the procedures necessary to establish and regulate fair and efficient markets and to
ensure that the business of the JSE is carried out in an orderly manner and with due regard to the objects of the Act.
Who are the directives binding on?
The directives are binding on members and their employees.
Who are the rules binding on?
- The rules are binding on members and their employees; and
- The rules are binding on any person utilising the services of a member or who concludes a transaction with a
member in the course of that member’s business.
On what specific condition must every transaction in equity securities entered into by a member be concluded?
On the specific condition that the transaction is entered into subject to the Act, the rules and the directives.
With whom does the interpretation and enforcement of the rules and the directives vest?
The controlling body.
