- The defendant offered to buy land for £1,450, and the claimant accepted the offer and included additional terms on payment and final performance. However, the court ruled that these ancillary terms were counter-offers and were not contractual until the defendant agreed to them. The offeree’s response was a counter-offer that rejected the original offer if the offeree disagreed with ancillary terms instead of central terms.
