- Intentional material misrepresentation
- of past or present fact
- made with scienter
- on which plaintiff justifiably relies

∆ is liable for a negligent misrepresentation only to:

- the person to whom the misrepresentation was made; and
- to any other specific persons or identifiable group of persons that the defendant knew would rely upon the misrepresentation

A
- Defendant knows that there is a contract between plaintiff and 3rd party
- Defendnat acts to have that contract breached or harder to perform

Inteference with Contractual Relations
A
Can apply to any type of contract.
The contract must:
- Be in force and effect;
- Be legal; and
- Not be opposed by public policy

Interference with Prospective Economic Advantage
A
For plaintiff to prevail, must show that ∆:
- Knew of the prospective economic advantage
- Acted to intefere with the prospective economic advantage for improper motives

Injurious Falsehood
A
Plaintiff must prove:
- a false statement;
- ∆ knew the statement was false OR recklessly disregarded truth or falsity;
- made to another OR published;
- causing specific economic injury to plaintiff
