Methods of Dissolution
A
An at-will partnership (one without a definite term) can be dissolved by any partner by his or her express will.
Typical acts causing dissolution include acts of dissociation including:
(1) within 90 days after a partner’s death
(2) bankruptcy or wrongful dissociation
(3) the express will of at least half of the remaining partners to wind up the business;
(4) the express consent of all partners to wind up the business
(5) or the expiration of the term
