- Do facts fall within s.190(1)? i.e. is a director of co or holdco or a connected person acquiring something from the Co (or vice versa)?
- is a non-cash asset being transferred?
- is the value substantial?
- is shareholder approval needed?
- do any exceptions apply?
- What are the sanctions if the correct procedure is not fulfilled?
