what is a contract?

what happens in the exchange element?

what is a promise?
an undertaking to act or refrain from acting in a specified was at some future time.
what is the ordinary remedy for breach of contract?
compensatory damages
what is an efficient breach?
if the breacher’s cost to perform would exceed the benefit that performance would give to both parties—the breacher makes enough gains by breaching to enable to pay compensatory damages to the breach victim and still be out ahead.

Elements of a Contact
What is a contract?
1) Exchange relationship
2) Created by agreement

4) Recognized as enforceable law

Process of Contract Formation
A contract is formed by an exchange of communications in which a transaction proposal by one party is accepted by another.
- OFFER: a proposal
- OFFEROR: makes the proposal; has the power to revoke it. (Must have power to accept)
- OFFEREE: whom the party made the offer to and must have sign of accent
• If an offered declines the offer and proposes a transaction on different terms then it’s a COUNTER OFFER
