under both common law and the UCC, the only rights that cant be assigned are those that would materially change the other party’s duty, risk, or chance of receiving return performance. This includes personal services, rights under future contracts, requirements and output contracts, and assignments contrary to public policy.

if duty is not impersonal it cannot be delegated. if the duty is impersonal ask if the delegation materially alters the nature of the performance or the risks and burdens to the party who would receive the performance.
