When does the fiduciary relationship of agency arise?
(1) Principal appoints the agent to act on his behalf and (2) agent consents to act subject to principal’s control
What is the requisite level of control the P must have over the A?
P specifies the task the Agent should perform
When is agency created through estoppel?
third party relies on Principal’s communication
What fiduciary duties does the agent owe the principal?
Care, loyalty, obedience
What is required for the duty of care?
Agent must carry out their agency with reasonable care (special skills considered)
What does the agent’s duty of loyalty require?
- can’t profit
- act for sole benefit of P
- refrain from dealing w/ P as adverse party
- don’t compete
- Don’t use property for own purpose
What does the duty of obedience require?
A must obey all reasonable instructions
What is a subagent?
Person agent appoints to perform functions agent consented to perform for P
What is liability of agent for breaches by a subagent?
Agent has absolute liability to P for breaches
What duties does subagent owe the P?
If P authorized –> subagent owes same duties as P
If P did not authorize –> subagent owes duties to A but not P
What obligations does P have to A?
(1) duties imposed by their contract
(2) reasonable compensation
(3) reimbursement of expenses
When does Agent have Actual Authority?
words/conduct of P would lead reasonable person in A’s position to believe they have authority to act on P’s behalf
When does express actual authority arise?
Authority conveyed by P by words (oral or written)
9 Scenarios where A has implied actual authority:
- Incidental to express
- Custom
- Acquiescence
- Emergency
- Delegation required
- Pay for/accept goods when A has authority to purchase
- Give warranties, collect payment, and deliver where A has authority to sell
- Manage investments
- Title or position of A
When is actual authority terminated?
- Happening of event stated in agreement
- lapse of reasonable time if no time for termination
- change in circumstances
- agent’s breach of duties
- either party’s unilateral termination
- Operation of law
When is agency irrevocable?
(1) coupled with an interest or (2) power given as security supported by consideration
