suggests that shareholders are merely one of many stakeholders in a company

what is a fiduciary?
is one who acts legally on behalf to another
what are the duties of fiduciaries?
- have a duty of care and a duty of loyalty to shareholders
- do not have a duty to maximise profits epecially short term
(many still wont to the need to deliver financial returns) - new concept is enlightened shareholder value introduced to clarify wide ranging duties of fiduciraries
why is Fid duty a tricky subject?
in UK under s. 172 companies act Fid duty to the ‘corporation’ which can be interpreted to members of corporation
US are more open about the subject and Australia looking to impose fid duties towards sustainability
certain theories also offer light upon the subject such as Freeman and Shareholder value
although fid duties give clear responsibilities why is it hard in practice to act in interest of every stakeholder?
shareholders who invest can pressurise CEOs to maximise short term profits, bug investors who don’t receive returns fast may threaten to leave
CEO and director bonuses are usually linked to stock price
what did Milton Friedman say in regards to Fid duties and CRS not being done in businesses?
‘there is one and only one social responsibility of business - to use its resources and engage in activities designed to increase its profits’
what is shareholder primacy?
a theory is corporate governance holding that shareholder interest should be assigned first priority relative to all other corporate stakeholders

- Michigan Supreme Court had to decide whether corporation owe duty to shareH to maximise profits or whether they can add value to stakeH at the expense of shareH
- Henry Ford founder and majority shareholder wanted to stop special dividends and increase wages, in order to spread the benefit of his company further
- Court decided that Ford could not lower consumer prices and raise employee strategies, no CRS, business about making money not a charity
