What is a liquidating dividend?

A

A liquidating dividend is the amount of a dividend that exceeds retained earnings. E.g., Company X has $300,000 in retained earnings and declares a $400,000 dividend. Therefore, the dividend includes a $100,000 liquidating dividend.
